Terms of Service (Subscription Terms)

for the AIGOY platform · Provider: Thomas Brandt, trading under the brand AX1S / AIGOY, AX1S c/o Clevver, Winterhuder Weg 29, 22085 Hamburg, Germany (“Provider”).

Courtesy English translation. The binding version is the German “Nutzungsbedingungen”; in case of discrepancies the German version prevails.

§ 1 Scope

These terms govern the provision and use of the AIGOY platform (AI Governance, Risk & Compliance) as software-as-a-service to businesses. The Data Processing Agreement (DPA) under Art. 28 GDPR is an annex to these terms and is concluded together with the contract.

§ 2 Subject matter & services

The Provider makes the AIGOY platform and its modules available, including the AI-assisted Compliance CoWorker “Felix” operating on the four-eyes principle. The specific scope depends on the chosen plan (Free, Starter, Business, Enterprise).

§ 3 Conclusion of contract

The contract is concluded by selecting a plan, accepting these terms incl. the DPA and – for paid plans – completing payment. Acceptance is logged for evidence (timestamp, version).

§ 4 Plans, prices & payment

The prices shown in the pricing dialog apply, plus statutory VAT. Payment for paid plans is handled by Stripe Payments Europe, Ltd. (EU). Unless stated otherwise, fees are due in advance for the chosen billing period (monthly/yearly).

§ 5 Term & termination

The term follows the chosen billing period and renews unless terminated in time. Free plans may be ended at any time. The right to extraordinary termination for good cause remains unaffected.

§ 6 Customer obligations

§ 7 Availability

The Provider strives for high availability. Maintenance windows and events outside the Provider’s control may temporarily limit availability. Specific service levels may be agreed separately (Enterprise).

§ 8 Data protection & processing

The Provider processes the customer’s personal data solely as a processor on documented instructions. The DPA under Art. 28 GDPR and the Privacy Policy apply. AIGOY is developed in Germany and hosted in Germany (Frankfurt); AI inference does not train on customer data.

§ 9 Liability

The Provider is liable without limitation for intent and gross negligence and for injury to life, body or health. For slightly negligent breach of essential obligations, liability is limited to the foreseeable damage typical for the contract. Otherwise liability is excluded. Liability under the GDPR (Art. 82) and mandatory law remains unaffected.

§ 10 Changes

The Provider may amend these terms and the DPA with effect for the future; material changes are communicated in advance and may require renewed acceptance at the next payment.

§ 11 Final provisions

German law applies. Place of jurisdiction is – where permitted – the Provider’s seat. If individual provisions are invalid, the remainder stays valid.
